Terms of Service

1. Agreement & Binding Contract
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Ikoniq Studio ("Ikoniq," "we," "us," or "our").
By accessing our platform, executing a Statement of Work (SOW), purchasing a Trial Kit, or engaging Ikoniq Studio for AI-directed visual production, you agree to comply with and be bound by these Terms.
2. Scope of Services
Ikoniq Studio provides high-fidelity, AI-directed creative and production services, including:
- AI Campaign Production & Art Direction: Conceptualizing, generating, and retouching high-resolution commercial imagery and video assets.
- Custom AI Model Development: Building, fine-tuning, and calibrating brand-exclusive LoRA checkpoints and asset embeddings.
- Synthetic Talent Roster Licensing: Commercial usage licensing for Ikoniq's proprietary virtual AI models.
- Localization & Scale Pipeline: Adapting visual assets across global demographics, background contexts, and multi-channel formats.
3. Intellectual Property Rights & Ownership Transfer
A. Client Source Materials
You retain 100% full ownership of all logos, trademarks, physical product photography, 3D CAD files, and brand guidelines ("Client Materials") supplied to Ikoniq Studio.
B. Human Creative Direction & Deliverables Ownership
All final image and video deliverables produced by Ikoniq Studio involve substantial human art direction, prompt engineering, custom styling, composition design, and digital post-production retouching ("Human Creative Contribution").
Upon receipt of full payment, Ikoniq Studio assigns and transfers to Client worldwide, exclusive, perpetual, royalty-free commercial rights to the final agreed-upon deliverables for use across any media channel.
C. Custom Brand LoRA Models & Checkpoints
For custom brand-exclusive AI models developed specifically for Client, full ownership of the resulting model weights and LoRA configuration files is assigned to Client upon final payment. No ongoing royalty or licensing fees apply.
D. Portfolio & Promotion Rights
Unless explicitly prohibited in a executed Non-Disclosure Agreement (NDA), Ikoniq Studio reserves the right to showcase final produced imagery in agency case studies, portfolio reels, and social media channels.
4. AI Production Tolerances, Revisions & Delivery SLAs
- Generative Variation Scope: Generative AI models operate probabilistically. Ikoniq Studio guarantees high visual fidelity and brand consistency; however, micro-variations in lighting, texture rendering, or non-essential background details are inherent to AI production.
- Human Retouching Guarantee: Every deliverable undergoes rigorous shot-by-shot review by our creative directors to correct anatomical flaws, text artifacts, or product distortions prior to final delivery.
- Turnaround Timelines: Campaign sprints are delivered within standard timelines (e.g. 8 business days for standard deliverables) following final brief confirmation and asset handoff.
- Revision Bounds: Standard project packages include up to two (2) rounds of creative revisions. Major modifications outside the original brief are billed as supplementary scope.
5. Virtual Talent & Likeness Terms
Where campaigns utilize virtual AI models from Ikoniq's proprietary roster (such as Raia West, Sora Indra, Milo Tanaka):
- Client receives commercial usage rights for the duration and media channels specified in the SOW.
- Client may not re-license, sell, or sub-license synthetic talent representations to unapproved third parties.
- Client agrees not to depict synthetic talent in defamatory, illegal, adult-oriented, or unethical contexts.
6. Payment, Trial Kits & Invoicing
- Campaign Sprints & Project Deposits: Projects require a 50% deposit prior to production commencement, with the remaining 50% due prior to final high-resolution file delivery.
- Trial Kits: Low-risk Trial Kits are billed upfront as fixed-price engagements.
- Late Payment Interest: Overdue invoices accrue interest at 1.5% per month (or the maximum statutory rate allowed by law).
7. Warranties & Indemnification
Client Warranty: Client warrants that all provided logos, product designs, and references do not infringe upon any third-party copyright, trademark, or proprietary right.
Ikoniq Warranty: Ikoniq Studio warrants that its human creative work and customized workflows are original and executed with professional care using commercially licensed or ethically sourced foundation architectures.
8. Limitation of Liability
To the maximum extent permitted by law, Ikoniq Studio shall not be liable for any indirect, consequential, punitive, or lost profit damages. Ikoniq Studio's aggregate liability under any claim shall not exceed the total fees paid by Client under the applicable SOW.
9. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Ikoniq Studio operates, without regard to conflict of law principles. Any dispute shall be resolved through confidential binding arbitration.
